Terms of Service

Version 2026-09-13. These terms govern the use of the FOCOTAI service (the “Service”) provided by FOCOTAI (the company operating this service) (“FOCOTAI”, “we”). By creating a workspace or accepting an invitation you agree to them on behalf of the organisation you represent (the “Customer”).

1. The Service

FOCOTAI connects to the Customer’s cloud and on-premises accounts through credentials the Customer creates (a read-only role for analysis; an optional, separately scoped write role for automation), ingests cost, usage and inventory data, and produces recommendations, forecasts, reports and, where the Customer enables it, automated actions on the Customer’s infrastructure.

2. Accounts and access

  • The Customer is responsible for the users it invites, their roles, and keeping credentials confidential. Administrators and FinOps leads must enrol a second factor.
  • The Customer grants FOCOTAI only the permissions described in the onboarding guide and may revoke them at any time; revocation ends ingestion and automation for that source.
  • The Customer must not use the Service to access accounts it is not authorised to manage.

3. Automation

  • Automated actions run only within the Customer’s configured safety thresholds, only on resources classified as Low criticality, and only through the write role the Customer created for that purpose. Every action is recorded in the audit log with its rollback plan.
  • Actions that the Service marks as requiring approval run only after an authorised user approves them. The Customer remains responsible for reviewing recommendations before approving them.
  • Savings figures are estimates derived from the Customer’s own data and published provider prices; they are not guarantees.

4. Fees

Fees are set out in the order form or plan the Customer selected. Where no order form exists, the Service is provided under an evaluation arrangement at no charge until a plan is agreed in writing. Fees are exclusive of taxes.

5. Customer data

The Customer owns its data. FOCOTAI processes it only to provide, secure and improve the Service, as described in the Privacy Policy and, for personal data, the Data Processing Addendum. FOCOTAI does not sell Customer data and does not use it to train models shared with other customers.

6. Availability and support

FOCOTAI aims to keep the Service available continuously, publishes maintenance and incidents on its status page, and answers support requests at the support address shown in the app. Service levels, where agreed, are set out in the order form.

7. Termination

Either party may terminate on 30 days’ written notice. A Customer administrator may request deletion of the workspace from Settings; data is retained for the grace period shown there and then permanently deleted. FOCOTAI may suspend access immediately for non-payment, a security risk, or breach of section 2.

8. Warranties and liability

The Service is provided with reasonable skill and care. Except as required by law, it is provided “as is” and FOCOTAI does not warrant that recommendations will achieve any particular saving. To the maximum extent permitted by law, FOCOTAI’s aggregate liability under these terms is limited to the fees paid by the Customer in the twelve months before the claim, and neither party is liable for indirect or consequential loss.

9. Changes

FOCOTAI may update these terms; material changes are announced in the app at least 30 days before they take effect, and continued use after that date constitutes acceptance. The version a user accepted is recorded on their account.

10. Governing law

These terms are governed by the laws of the jurisdiction stated in the order form or, absent one, the jurisdiction in which FOCOTAI (the company operating this service) is incorporated. Disputes are subject to the exclusive jurisdiction of its courts.
